is your last investor doubling down
A founder listed his previous investors on the deck. Six names from a company he’d raised 2 million for years ago. I told him that slide is a negative signal unless at least one of those names is writing a check again. Otherwise it looks like a party round, where someone gave you 25k and forgot about it. Or worse, like people who’ve seen you work and chose not to come back.
Call two of them tonight. You don’t need the money now. You need a verbal yes. Even 10k. Then in every private meeting you can say my previous investors are in. That’s a vote of confidence from someone who’s actually seen you operate. Nothing else on the deck can do that.
The same question gets asked of pivots. You raised at 20, you pivoted, now you’re raising again. The VC wants to know: was the old round’s money only spent on arriving here? Then it’s baggage. Did you grow and learn at the same time? Then it’s a founder who adapts. And will the previous lead vouch for you, publicly, maybe with a small check? If their answer is “they’re good people”, they don’t want to stick their neck out, and everyone can hear it.
For commitments, there’s a hierarchy in every investor’s head. Soft commit, which is someone saying something. LOI, which is non-binding and anyone with enough friends can collect. Contract, even with an exit clause. Then volume or total value locked (TVL). Your job before any raise is to move everything up one level. “We have 100 million in LOIs” gets a nod. “We have 100 million in contracts that activate the day we go live” gets six hours of their time, and once they’ve spent six hours on you they judge the founder instead of the numbers.
Also: a 500k term sheet on a 2 million round is not a lead. A lead does the diligence, takes the risk, and everyone else follows them. Without a lead, nothing closes.
the call where i said it best
A team pivoting into a down round after a zero-knowledge (ZK) infrastructure play asked how to position it. I said two things decide this. Is there traction on the new product, or is the last round baggage? And will your previous lead come out and vouch for you? Get both and the down round is a reset. Get neither and it’s a company that spent 2 million finding out what not to build.
do this this week
Message your biggest previous investor. Ask if they’ll put in a small check again. Their answer is the real state of your company.
the line to remember
generally it would actually be a signal if any of these people were to invest again.
